End-User Licence Agreement

This End-User Licence Agreement ("EULA") governs your use of Sema software, including any downloadable components, agents, SDKs, command-line tools, and self-hosted deployments (collectively, the "Software"). By installing or using the Software, you agree to this EULA.

1. Licence grant

  • Subject to your compliance with this EULA and your subscription, Sema grants you a limited, non-exclusive, non-transferable, non-sublicensable licence to install and use the Software solely for your internal business use during the subscription term.

2. Restrictions

  • You may not copy (except for reasonable backups), modify, distribute, sell, lease, or sublicense the Software.
  • You may not reverse engineer, decompile, or disassemble the Software, except to the extent expressly permitted by applicable law.
  • You may not remove or alter any proprietary notices, or use the Software to develop a competing product.

3. Ownership

  • The Software is licensed, not sold. Sema and its licensors retain all right, title, and interest in and to the Software and all intellectual-property rights therein.

4. Third-party & open-source components

  • The Software may include third-party or open-source components licensed under their own terms, which apply to those components and, in case of conflict, prevail over this EULA for those components.

5. Updates

  • Sema may provide updates, patches, or new versions. Unless accompanied by separate terms, updates are governed by this EULA. You are responsible for applying security updates to self-hosted deployments.

6. Support & maintenance

  • Support is provided according to your plan. Self-hosted deployments require you to maintain the underlying infrastructure and to run supported versions.

7. Term & termination

  • This EULA is effective until terminated. It terminates automatically if you breach it or when your subscription ends. On termination you must stop using and delete all copies of the Software.

8. Warranty disclaimer & liability

  • The Software is provided 'as is' without warranties of any kind to the maximum extent permitted by law. Sema's liability under this EULA is subject to the limitations set out in the Terms & Conditions.

9. Export & compliance

  • You agree to comply with all applicable export-control and sanctions laws and not to use the Software in violation of them.

10. Governing law

  • This EULA is governed by the laws of India, with exclusive jurisdiction of the courts at Bengaluru, Karnataka, India.
