Terms & Conditions

These Terms & Conditions ("Terms") are a binding agreement between you (and the entity you represent, "Customer") and Sema governing access to and use of our website, applications, APIs, and related services (the "Service"). By accessing or using the Service, you agree to these Terms. If you do not agree, do not use the Service.

1. Eligibility & accounts

  • You must be at least 18 years old and capable of forming a binding contract. If you use the Service on behalf of an organisation, you represent that you are authorised to bind that organisation.
  • You are responsible for all activity under your account and for keeping your credentials confidential. Notify us immediately of any unauthorised use.
  • You must be authorised to connect any data source you add to Sema and to grant the access described in these Terms.

2. The Service & licence

  • Subject to these Terms and payment of applicable fees, Sema grants you a limited, non-exclusive, non-transferable, revocable right to access and use the Service for your internal business purposes during the subscription term.
  • We may update, enhance, or modify the Service; we will not materially reduce core functionality of a paid plan during a paid term without notice.

3. Acceptable use

  • Do not misuse the Service, interfere with its operation, probe or breach security, or access it other than through our provided interfaces.
  • Do not use the Service to violate any law, infringe intellectual-property or privacy rights, or transmit unlawful, harmful, or infringing content.
  • Do not reverse engineer, decompile, resell, sublicense, or create derivative works of the Service except to the extent this restriction is prohibited by applicable law.
  • Do not use the Service to build a competing product or to benchmark without our prior written consent.

4. Customer data & content

  • As between the parties, you retain all rights to the data, schema, and content you connect or submit ('Customer Data'). You grant Sema a limited licence to process Customer Data solely to provide and support the Service.
  • Our processing of personal data within Customer Data is governed by our Data Processing Addendum and Privacy Policy.
  • You are responsible for the accuracy, quality, and legality of Customer Data and for obtaining all necessary consents and rights.

5. Plans, fees & billing

  • Paid plans are billed in advance on a recurring (monthly or annual) basis through our payment partner. All fees are exclusive of applicable taxes (including GST), which you are responsible for.
  • Fees are non-refundable except where required by law or expressly stated. Subscriptions renew automatically unless cancelled before the renewal date.
  • We may change pricing with at least 30 days' notice, effective on your next billing cycle.

6. Free plans & trials

  • Free or trial access is provided 'as is' and may be modified or discontinued at any time. Usage limits apply and may be enforced.

7. Intellectual property

  • Sema and its licensors retain all right, title, and interest in and to the Service, including all software, models, and documentation, and all related intellectual-property rights.
  • Feedback you provide may be used by Sema without restriction or obligation to you.

8. Third-party services

  • The Service may interoperate with third-party services (for example, databases and identity providers) that you choose to connect. Your use of those services is governed by their terms, and Sema is not responsible for them.

9. Confidentiality

  • Each party will protect the other's confidential information with reasonable care and use it only to perform under these Terms. This does not apply to information that is public, independently developed, or rightfully obtained without confidentiality obligations.

10. Warranties & disclaimers

  • We will provide the Service with reasonable skill and care. Except as expressly stated, the Service is provided 'as is' and 'as available', and we disclaim all other warranties to the maximum extent permitted by law, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement.
  • Sema does not warrant that answers, generated SQL, or analytics will be error-free; you are responsible for reviewing outputs before relying on them.

11. Limitation of liability

  • To the maximum extent permitted by law, neither party is liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits, revenue, or data.
  • Each party's aggregate liability arising out of or related to these Terms is limited to the fees paid or payable by you to Sema in the 12 months preceding the event giving rise to the claim.

12. Indemnification

  • You will defend and indemnify Sema against third-party claims arising from your Customer Data, your use of the Service in breach of these Terms, or your violation of law or third-party rights.

13. Suspension & termination

  • You may stop using the Service at any time. We may suspend or terminate access for material breach, non-payment, or where required to protect the Service or comply with law.
  • Upon termination, your right to use the Service ceases and we will delete or return Customer Data in accordance with the DPA, except where retention is required by law.

14. Governing law & disputes

  • These Terms are governed by the laws of India, without regard to conflict-of-laws rules. The courts at Bengaluru, Karnataka, India will have exclusive jurisdiction, subject to any agreed arbitration.
  • Any dispute may, at either party's election, be referred to arbitration under the Arbitration and Conciliation Act, 1996, seated in Bengaluru, in English, before a sole arbitrator.

15. Changes to these Terms

  • We may update these Terms from time to time. Material changes will be notified in-product or by email and are effective on the date stated in the notice or upon your continued use.
